TehProf Public Offer

Edition 1.1 of 09.10.2026 · version id 2026-10-09 · permanent address tehprof.kz/legal/en/offer/1.1/ · translation, the Russian text prevails

Edition 1.1 of 09.10.2026. Takes effect on 09.11.2026 for all Clients. Until that date edition 1.0 applies — tehprof.kz/legal/archive/2026-10-05/offer/ (in Russian). Periods paid under edition 1.0 keep its refund procedure. Edition 1.1 takes effect simultaneously for all Clients and all orders after 30 (thirty) calendar days from publication and notification of Clients (clause 14.2).
Editions. New editions are published with a date and version number; previous editions remain available in the archive and are not changed.
What changed in edition 1.1. Refunds are made only upon the Client's written request approved by the Operator (clause 13.2); there are no automatic refunds. A request can be filed in the Support account or by email (clause 13.2.1). The Operator may refuse approval only on the grounds listed in clause 13.2.2; in all other cases the refund is approved. The Operator may withdraw an approval only on the grounds of clause 13.2.6; the approved amount remains the Operator's obligation until paid in full (clause 13.2.4). The refund for a subscription — monthly, or paid for a year or another term in advance where the invoice does not contain the clause 4.4 condition of a fixed fee for the whole term — is calculated pro rata to the unused paid period from the day the request is received (clause 13.2.3). Clauses 4.4, 5.3, section 6 and the SLA (downtime is compensated by a credit against future payments, with no cash payout) are aligned with this procedure. Clause 14.2 sets a single effective date for a new edition. Section 3 defines a business day. The numbering of existing clauses is unchanged; clause 13.2.6 is added.

1. Parties and scope

1.1. Tehsnab Group LLP, BIN 190440008175 (the “Operator”), by this public offer under Article 395 of the Civil Code of the Republic of Kazakhstan, offers legal entities and individual entrepreneurs (the “Client”) to enter into a contract for the right to use the “TehProf Platform” software suite and its modules and/or for the provision of IT services.

1.2. The Offer is not intended for purchases by individuals for personal, family or household purposes.

1.3. The “TehProf Platform” is a software suite with pluggable modules. The modules, their description and special terms are set out in the product cards (Support, Booking, Data Flow, Dialogs). The Client receives the right to use only the modules expressly stated in the invoice or order or selected by the Client at registration.

2. Contract documents and order of precedence

The contract consists of:

In case of conflict the following order applies: 1) an individual signed contract — in the clauses it amends; 2) the paid invoice or order — as to product, plan, term, quantity and price; 3) the product card and a special SLA; 4) this Offer; 5) the data processing and acceptable use policies.

3. Definitions

4. Licence for proprietary software

4.1. The Operator grants the Client a simple (non-exclusive), non-transferable right of remote use of the selected Platform modules within the term, plan and limits, without transfer of the source code and without the right to sublicense.

4.2. The right is deemed granted from the moment the Client's account or workspace is activated and access is provided. This is evidenced by a licence certificate, an electronic message, a record in the personal account or the system log.

4.3. The Client may not copy, decompile, modify or distribute the Platform software.

4.4. If a licence is paid for a year or another term in advance in a single payment and this is expressly stated in the invoice, the fee is fixed for the whole term; voluntary cessation of use after activation does not entail a monthly recalculation. A refund is possible only where it is mandatory by law or caused by a material breach by the Operator, and is made upon an approved request under clause 13.2; the refund amount is determined under clause 13.2.3. For a subscription — monthly, or paid for a year or another term in advance without such a statement in the invoice — the refund procedure of clause 13.2.3 applies.

5. IT services

5.1. Analysis, design, implementation, configuration, adaptation, testing, training, technical support and custom development are not included in the licence unless expressly stated in the invoice or order.

5.2. The order defines the scope, result, term, price and acceptance criteria. Within five business days after receiving the result the Client signs the acceptance certificate or sends a single reasoned list of deviations from the agreed criteria; if there is no response, the services are deemed accepted. New requirements are placed as a separate order.

5.3. If the Client cancels services not yet rendered, settlement is made separately from the licence: the accepted result and expenses actually incurred by the Operator are paid. The remaining prepayment is refunded upon an approved request under clause 13.2.

6. Third-party products

Where the Operator arranges the purchase or connection of a third-party product, the right holder, product, plan and term are stated in the invoice as a separate line; its use is also governed by that right holder's rules. The Operator grants no more rights than it has received and is not liable for changes to or discontinuation of a third-party product beyond the Operator's reasonable control. Refunds for a third-party licence are governed by mandatory law, the right holder's terms and the invoice; a refund, where provided for, is made upon an approved request under clause 13.2.

7. Acceptance, price and invoice

7.1. The price and period are fixed in the invoice or electronic order or determined by the selected plan (plans). Prices are in Kazakhstani tenge (KZT).

7.2. Payment of an invoice that states the address and version of this Offer constitutes full and unconditional acceptance of that edition. The date of the contract is the date of payment.

7.3. Registering an account on the Platform with explicit confirmation of agreement with the Offer, the Privacy Policy and the acceptable use rules constitutes acceptance with respect to free and trial use and plans the Client connects itself. Acceptance is equivalent to concluding the contract in writing (Article 396 of the Civil Code of the Republic of Kazakhstan).

7.4. As evidence of acceptance the Operator keeps the version of the documents, the date and time, the Client identifier, the invoice or order, the IP address, the user agent and the technical activation log.

8. Payment

8.1. Payment is made in tenge to the Operator's settlement account on a prepayment basis for the billing period (for a monthly subscription — a month).

8.2. When moving to a higher plan, payment is prorated for the remaining period.

8.3. If payment is not received within 5 (five) business days after the billing period ends, the Operator may restrict functionality to the free plan level (if the product has one). If payment is more than 30 (thirty) calendar days overdue, the Operator may suspend access.

8.4. The Operator may change its prices by notifying the Client at least 30 (thirty) calendar days in advance; the change does not affect an already paid period.

8.5. Licences, services, custom development and third-party products are shown in the invoice as separate lines.

9. Rights to results

9.1. Exclusive rights to the Platform, source code, universal modules, libraries, templates, architecture, documentation and improvements belong to the Operator or the respective right holders.

9.2. After full payment the Client may use a custom enhancement as part of the paid product. Exclusive rights pass only under a separate signed document defining the object, methods of use, territory, term and separate remuneration.

9.3. The Client retains rights to its data and materials and warrants that their transfer and processing are lawful.

10. Data and security

10.1. The Client determines the purposes for which uploaded data is used and ensures the lawful basis and the necessary consents of data subjects. The Operator processes data to provide the product, support, security and compliance with the law under the Privacy Policy.

10.2. For processing data on the Client's behalf, medical data, special SLAs, cross-border transfer or engagement of special subcontractors, a corresponding annex is concluded; see the data processing terms.

10.3. The list of main external services is published on the Subprocessors page. The Operator gives advance notice of material changes that may affect the processing of the Client's data where practically and legally possible.

10.4. The obligation not to disclose trade secrets and technical data learned in performing the contract applies during the contract and for 3 (three) years after it ends; disclosure at the request of competent state authorities of the Republic of Kazakhstan in the manner prescribed by law is not a breach.

11. Availability and product changes

11.1. The Operator supports the product in accordance with the applicable SLA. Scheduled work and failures of external networks and platforms are treated under the SLA rules.

11.2. The Operator may develop the interface and functionality without depriving the Client of paid core functionality without a reasonable replacement. Material discontinuation of a paid feature is governed by the product card and the SLA.

12. Restrictions on use and liability

12.1. Prohibited actions are listed in the acceptable use rules. Where security is at risk or in case of a material breach, the Operator may restrict access after notifying the Client and giving time to remedy, unless an immediate restriction is needed to prevent damage.

12.2. The service is provided “as is”. The Operator does not warrant uninterrupted and error-free operation, except for the SLA obligations.

12.3. The Operator's aggregate liability under the contract is limited to the amount actually paid by the Client for the affected product in the 12 (twelve) months preceding the event, except for intent, gross negligence, breach of confidentiality and other cases where a limitation is prohibited by law. The Operator is not liable for indirect losses, including lost profits and reputational damage, or for actions of third parties (telecom providers, CRM systems, payment systems, messengers).

12.4. The parties are released from liability for non-performance caused by force majeure; the affected party notifies the other within 5 (five) business days. If such circumstances last more than 60 (sixty) calendar days, either party may terminate the contract.

13. Term, termination and refunds

13.1. The contract takes effect upon acceptance and remains in force for the paid period and, for unpaid provisions, until the account is closed. The end of services does not terminate a paid licence; the end of a licence does not release the Client from paying for accepted services.

13.2. The Client may cancel the subscription and delete the account at any time. Cancelling the subscription, deleting the account, ceasing use or disconnecting a product do not by themselves entail a refund: there are no automatic refunds. A refund is made only upon the Client's request approved by the Operator, in accordance with clauses 13.2.1–13.2.6.

13.2.1. A refund request is submitted to the Operator in writing in one of two ways: in the Support account — for payments and orders made in Support — or by email to the address for legally significant notices stated in section 16. A request submitted in the Support account is deemed submitted in writing. Before the Operator's decision the Client may withdraw a request submitted in the Support account there. The request states the Client's name and BIN (IIN), the number and date of the invoice or other payment document, the product and period for which a refund is requested, the ground for the refund and the amount requested.

13.2.2. The Operator reviews the request within 10 (ten) business days of its receipt and, as a result, approves the refund in writing stating the amount or sends a reasoned refusal stating the ground. If the request is incomplete, the Operator requests the missing information within the same period; the Client provides it within 10 (ten) business days of the request, and the review period runs from the day it is received. Approval is not at the Operator's discretion: the Operator may refuse only on the following grounds:

In all other cases the Operator approves the refund in the amount calculated under clause 13.2.3. The Operator may withdraw that approval only on the grounds of clause 13.2.6.

13.2.3. When a refund for a subscription is approved — monthly, or paid for a year or another term in advance where the invoice does not state the clause 4.4 condition of a fixed fee for the whole term — the amount is calculated pro rata to the unused paid period: from the day the Operator receives the request until the end of the paid period. For a licence paid for a term in advance with the clause 4.4 condition, the grounds for a refund are determined by clause 4.4 and the amount by the refund condition stated in the invoice; if the invoice contains no such condition, the amount is calculated pro rata to the unused paid period in the same manner. For services the grounds and amount of a refund are determined by clause 5.3, for third-party products by section 6.

13.2.4. Only an approved refund is executed: in the approved amount, by the same method as the payment, within 10 (ten) business days of approval. If payment was made through a marketplace or another payment intermediary, the approved refund is made through it and under its rules. The right to use the paid plan for the period refunded ends.

The approved amount remains the Operator's obligation until paid in full. If the bank did not process an approved refund, the approval remains valid and the refund is executed again; the Client's right to the refund is not lost. If a refund is executed in an amount less than approved, the request remains open and the balance is paid under the same request; no new request for the balance is required. A new request is filed only for a refund above the approved amount — within the amount paid less amounts already refunded. The Operator reconciles recorded refunds with those actually processed by the bank.

13.2.5. This procedure does not limit the Client's rights under mandatory provisions of the legislation of the Republic of Kazakhstan; a claim for a refund on such grounds is also made by a request under clause 13.2.1.

13.2.6. The Operator may withdraw an approval of a refund only on one of the following grounds:

There are no other grounds for withdrawing an approval. A bank's failure to process a refund is not a ground for withdrawal (clause 13.2.4). The Operator informs the Client of the withdrawal of an approval and its ground. After an approval is withdrawn the Client may file a new request.

13.3. The Operator may terminate the contract in case of a material breach by the Client by giving 15 (fifteen) calendar days' notice.

13.4. After the contract ends, the Client has 30 (thirty) calendar days to export data; after that the data is permanently deleted (backups — within the periods stated in the Privacy Policy). The Operator is not liable for data not exported in time. Product specifics are stated in its card.

14. Changes to the Offer and archive

14.1. Each edition has a date and version number and is kept in the public archive. New editions are published with a date; previous editions remain in the archive and are not changed.

14.2. A new edition takes effect on the date stated on its publication — not earlier than 30 (thirty) calendar days after publication and notification of Clients (the period runs from the day following the day of publication), simultaneously for all Clients and all orders; until that date the previous edition applies. To a period paid before the new edition takes effect, it applies only to the extent of mandatory legal requirements, security, or changes that do not worsen the agreed commercial terms; the refund procedure for such a period is determined by the edition under which it was paid.

14.3. The latest published edition is posted at tehprof.kz/legal/offer/ stating its effective date and linking to the edition in force until that date. Each edition has a permanent address: edition 1.1 — tehprof.kz/legal/offer/1.1/; edition 1.0 of 05.10.2026 (version id 2026-10-05) — tehprof.kz/legal/archive/2026-10-05/offer/. The former Support offer (March 2026) is kept in the archive: tehprof.kz/legal/archive/2026-03/support-offer/.

15. Governing law and disputes

15.1. The laws of the Republic of Kazakhstan apply.

15.2. A pre-trial claim procedure is mandatory; a claim is reviewed within 15 (fifteen) business days. An unresolved dispute is heard by the courts of the city of Karaganda, Republic of Kazakhstan.
